Matchstick is a boutique, business law firm with offices in Portland, Oregon and the San Francisco Bay area. We are seeking a Part-Time Attorney (approx. 50% FTE) for our Portland office with 3 to 5 years of relevant legal experience. Matchstick specializes in advising creative and digital agencies throughout their business lifecycle. The ideal candidate should be detail-oriented, client-focused, creative, and an excellent contract drafter. Relevant experience includes work with service agreements, corporate matters, owner agreements, employment agreements, intellectual property, trademark prosecution, and mergers and acquisitions. Familiarity with creative services such as design, development, video production, and digital marketing is a plus. 

While we pride ourselves on responsiveness to our clients, our practice has modest production requirements (450 – 550 per year for this part time position) and our clients respect off-hours and weekends. This is an ideal opportunity for a person wanting a true part-time engagement.

Duties:

  • Draft and negotiate business contracts, with particular emphasis on services agreements and statements of work.
  • Advise business owners on drafting and negotiation of operating agreements and shareholder agreements.
  • Prepare and negotiate employment agreements, compensation plans, new hire letters, and contractor agreements.
  • Conduct legal research and analysis on various business and intellectual property matters. 
  • Prepare routine corporate documents such as articles, bylaws, minutes, stock certificates, operating agreements, ledgers as well as transaction documents for business formation, dissolution, and restructuring. 
  • Collaborate with partners and senior attorneys on complex business transactions. 
  • Participate in due diligence reviews for mergers and acquisitions. 
  • Handle administrative tasks related to client matters, including file management and document organization.
  • Attend meetings and conference calls with clients and other parties as necessary.
  • Maintain regular communication with clients to provide updates and address concerns.
     

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • 3 to 5 years of relevant business law experience.
  • Member of or eligible to waive into the State Bar of Oregon.

Skills

  • Excellent drafting skills (familiarity with Adams, A Manual of Style for Contract Drafting strongly preferred).
  • Ability to translate business goals into contract language.
  • Can clearly explain legal issues verbally and in writing without jargon.
  • Detail-oriented with excellent organizational skills.
  • Ability to negotiate based on client goals.
  • Intellectual curiosity and desire to improve writing and negotiating skill sets.
  • Desire to grow own relationships with clients provided by firm.
  • Client-focused and practical. 
  • Comfortable with financial information, spreadsheets, and business data.
  • Adaptable with technology, online tools, and learning new skills. 
  • Able to work independently and as part of a team.
